Terms and Conditions of Use

1. Acceptance of the terms

These Terms and Conditions govern access to and use of the HHintegra technology platform (hereinafter, the "Platform"), owned by HH INTEGRA RH, S.C. (hereinafter "HHintegra"). By accessing, registering or using the Platform, the user declares to have read, understood and accepted these Terms and Conditions, as well as the applicable Privacy Notice and the Privacy and Data Protection Policy. If the user does not agree with these terms, they must refrain from using the Platform.

2. Purpose of the platform

HHintegra makes available to its customers a technology platform to support processes related to:

• Personnel administration.
• Management of employment files.
• Attendance control.
• Vacations and leave.
• Performance evaluations.
• Recruitment and selection.
• Training.
• Document management.
• Human resources reports and indicators.
• Other modules that HHintegra may add in the future.

3. Registration and user accounts

Access to certain features will require creating a user account. Each user will be responsible for:

• Keeping their access credentials confidential.
• Using strong passwords.
• Safeguarding their username and password.
• Immediately reporting any unauthorized access.

The user agrees that all activity carried out from their account will be considered carried out by the user. HHintegra will not be liable for losses arising from the misuse of credentials by third parties.

4. Authorized use

Users agree to use the Platform exclusively for lawful purposes related to the administration and management of human resources of their organization. The following is prohibited:

• Sharing access with unauthorized persons.
• Altering the operation of the Platform.
• Attempting to breach security mechanisms.
• Introducing viruses, malware or malicious code.
• Accessing other customers' information.
• Using the Platform for illegal activities.
• Copying, decompiling, reproducing or modifying the software without authorization.

5. Information entered by the customer

The customer is responsible for:

• The accuracy of the information entered.
• Having the necessary authorizations for the processing of the personal data recorded.
• Keeping the information up to date.
• Complying with applicable labor, tax and data protection law.

HHintegra acts solely as a technology provider and does not verify the accuracy of the information entered by users.

6. Personal data protection

HHintegra will process personal data in accordance with:

• The Federal Law on the Protection of Personal Data Held by Private Parties.
• The Comprehensive Privacy Notice.
• The Platform's Privacy and Data Protection Policy.

When customers enter personal data of their employees, they will be considered controllers of such data, while HHintegra will act as processor in accordance with the customer's instructions.

7. Confidentiality

All information hosted on the Platform will be considered confidential. HHintegra will implement reasonable security measures to protect the information against:

• Unauthorized access.
• Accidental loss or destruction.
• Improper alteration.
• Unauthorized disclosure.

Users undertake to maintain strict confidentiality about any information they access through the Platform.

8. Service availability

HHintegra will make reasonable efforts to keep the Platform available. However, interruptions may occur due to:

• Preventive or corrective maintenance.
• Technology updates.
• Infrastructure failures.
• Cyberattacks.
• Force majeure.

HHintegra does not guarantee uninterrupted availability of the service twenty-four hours a day.

9. Intellectual property

The Platform, its software, source code, interfaces, databases, logos, designs, manuals and other elements are the exclusive property of HH INTEGRA RH, S.C. or its respective licensors. No provision of these terms may be interpreted as an assignment of intellectual property rights in favor of the user or customer.

10. Limitation of liability

HHintegra will not be liable for:

• Errors arising from incorrect information provided by the customer.
• Administrative, labor or business decisions made by users.
• Loss of information caused by the customer's actions.
• External interruptions of internet or telecommunications services.
• Damages caused by misuse of access credentials.

HHintegra's liability will be limited to the extent permitted by applicable law.

11. Suspension or cancellation of accounts

HHintegra may temporarily or permanently suspend access to the Platform when it detects:

• Misuse of the system.
• Breach of these terms.
• Activities that compromise the security of the Platform.
• Non-payment of the contracted services, in accordance with the corresponding contract.

12. Changes to the platform

HHintegra may make improvements, updates or modifications to the Platform whenever it considers it necessary to improve the operation, security or functionality of the services.

13. Changes to the terms and conditions

HHintegra may update these Terms and Conditions at any time. Changes will be published on the Platform and will take effect from their publication, unless expressly stated otherwise.

14. Governing law and jurisdiction

These Terms and Conditions will be governed by the laws in force of the United Mexican States. For their interpretation and performance, the parties submit to the jurisdiction of the competent courts of Mexico City, waiving any other venue to which they may be entitled by reason of their present or future domicile.
